Terms of Service

These Terms of Service ("Terms") form a binding agreement between Madisonville Limited, a company registered in England and Wales (registered office: 82a James Carter Road, Mildenhall, IP28 7DE) ("Madisonville", "we", "us"), and the individual or organisation subscribing to the Madisonville platform (the "Customer", "you"). By creating an account or placing an order you confirm you have read, understood and accepted these Terms.
1. Definitions
- Service β the Madisonville hosted commerce platform, including the storefront builder, AI sales assistant, multi-channel inbox, accounting module and any related APIs and apps.
- Credit β a unit of usage purchased on the Service. Pricing is set out at /pricing.
- Customer Data β any data you or your end-users upload to or generate inside the Service.
2. The Service
We grant you a non-exclusive, non-transferable right to access and use the Service for your internal business purposes during the subscription term. We may modify, add or remove features from time to time; if a change materially reduces functionality, we will give you at least 30 days' prior notice.
3. Accounts
You are responsible for keeping login credentials confidential, for all activity under your account, and for ensuring that anyone you invite complies with these Terms. Notify us immediately at [email protected] if you suspect unauthorised access.
4. Subscriptions, credits and payment
- Subscriptions renew automatically on a monthly or annual cycle until cancelled.
- Prices are displayed in the currency you select at checkout. UK and EU prices are exclusive of VAT, which is added at the applicable rate.
- Bank transfer is the default payment method. Card, PayPal and Stripe payment options become available as we activate them.
- Credits are valid as long as your account is in good standing. They are not redeemable for cash and are subject to the Refund Policy.
- Late payments may result in suspension after 14 days' notice.
5. Acceptable use
Your use of the Service is also subject to our Acceptable Use Policy. We may suspend access if we reasonably believe that policy has been breached.
6. Customer Data
You retain all rights in Customer Data. You grant us a limited licence to host, process and display Customer Data solely to provide the Service and meet our legal obligations. We act as processor for personal data within Customer Data on the terms of our Data Processing Addendum.
7. AI features
The AI assistant uses third-party model providers under our security and data-handling controls. AI output may contain errors or omissions; you remain responsible for reviewing it before publishing or relying on it for material decisions.
8. Intellectual property
The Service, including all software, text, designs and trademarks, is owned by Madisonville and its licensors. You may not copy, reverse engineer, decompile or create derivative works except as permitted by law.
9. Confidentiality
Each party will protect the other's non-public information using at least the same standard of care it uses for its own confidential information, and in no event less than reasonable care.
10. Warranties and disclaimers
We will provide the Service with reasonable skill and care. To the maximum extent permitted by law, the Service is otherwise provided "as is" without further warranties, express or implied, including merchantability and fitness for a particular purpose.
11. Limitation of liability
Neither party is liable for indirect, special, incidental, punitive or consequential damages, or loss of profits, revenue, goodwill or data. Each party's aggregate liability under these Terms is limited to the fees paid by you to us in the 12 months preceding the event giving rise to the claim. Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or anything else that cannot be limited under English law.
12. Term and termination
Either party may terminate for material breach if the breach is not cured within 30 days of written notice. On termination we will, on request and within 30 days, provide an export of Customer Data, after which it may be deleted in accordance with our retention schedule.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified by email to account owners at least 14 days in advance. Continued use after the effective date constitutes acceptance.
14. Governing law
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, save that we may seek injunctive relief in any competent court.
